Terms of Service

Welcome to DrawAFence.com (“DrawAFence”, “Draw A Fence Inc.”, “Company”, “we”, “us”, or “our”).

These Terms of Service (“Terms”) govern your access to and use of our website, software, tools, forms, drawings, document generators, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be legally bound by these Terms.

If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. By using DrawAFence, you represent and warrant that you meet these requirements.

If you create an account on behalf of a company or similar legal entity, by doing so, you assert that you are legally able to enter a binding agreement on that company or entity’s behalf.

2. Description of Service

DrawAFence provides online tools and software designed to help fence contractors and related businesses generate drawings, forms, proposals, documents, and other project-related materials.

The Service is provided on a subscription basis and may be modified, updated, or discontinued at any time without notice.

3. Accounts

To use certain features, you may be required to create an account.

You agree to:

  • Provide accurate and current information
  • Maintain the confidentiality of your login credentials
  • Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts at our discretion for violations of these Terms.

4. Subscription, Billing, and Automatic Renewal

Subscription Fees

Access to the Service requires payment of recurring subscription fees.

Automatic Renewal

All subscriptions automatically renew at the end of each billing period unless canceled prior to renewal. By subscribing, you authorize us to automatically charge your payment method on a recurring basis.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle.

No Refunds

All payments are final and non-refundable, including:

  • Partial billing periods
  • Unused time
  • Downgrades
  • Early cancellations
  • Account suspensions or terminations due to violations

No exceptions will be made.

5. Ownership of Materials and Intellectual Property

All content, software, templates, forms, drawings, documents, outputs, and materials generated through the Service (collectively, “Materials”) are and remain the sole and exclusive property of DrawAFence.

By using the Service, you acknowledge and agree that:

  • DrawAFence retains all intellectual property rights in all Materials
  • You are granted only a limited, non-exclusive, non-transferable license to use the Materials for your internal business purposes
  • You may not resell, sublicense, distribute, or commercially exploit the Materials without written permission

Unauthorized use may result in termination and legal action.

6. Errors, Omissions, and No Professional Advice

The Service provides tools and templates for convenience only.

DrawAFence does not guarantee that:

  • Documents are error-free
  • Materials are complete or legally compliant
  • Outputs meet regulatory, contractual, or professional requirements

All Materials are provided “as-is” and “with all errors and omissions”.

You are solely responsible for:

  • Reviewing all outputs
  • Verifying accuracy
  • Ensuring compliance with laws, codes, and contract requirements

DrawAFence disclaims all liability for errors, omissions, inaccuracies, or reliance on generated content.

7. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided:

“AS IS” and “AS AVAILABLE”

We expressly disclaim all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Reliability or uninterrupted service

We do not guarantee uptime, availability, or that the Service will be free of bugs or interruptions.

8. Limitation of Liability

To the fullest extent permitted by law, DrawAFence shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Lost profits
  • Lost business
  • Data loss
  • Contractual losses
  • Legal claims arising from use of Materials

Our total liability for any claim shall not exceed the amount you paid to us in the previous three (3) months.

9. Indemnification

You agree to indemnify and hold harmless DrawAFence and its owners, officers, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your reliance on generated Materials
  • Your misuse of documents or outputs

10. Acceptable Use

You agree not to:

  • Reverse engineer or copy the Service
  • Use the Service unlawfully
  • Attempt to access unauthorized systems
  • Share accounts or resell access
  • Interfere with Service operations

Violation may result in immediate termination.

11. Termination

We may suspend or terminate your access at any time, without notice, for any reason, including breach of these Terms.

Upon termination:

  • Your license ends immediately
  • You lose access to stored data and Materials
  • No refunds will be provided

12. Modifications to Service or Terms

We may modify:

  • Features
  • Pricing
  • These Terms

Updates take effect upon posting. Continued use constitutes acceptance.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the laws of Canada applicable therein.

All disputes, claims, or legal proceedings arising out of or relating to the Service shall be exclusively brought in the courts located in Drumheller, Alberta, Canada.

You irrevocably consent to this jurisdiction and venue.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, government actions, or third-party service failures.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and DrawAFence regarding the Service and supersede all prior agreements.
